Job Description and Missions

To support efficiently the expansion of the activities we are looking for a:

Head of Legal, Ethics and Compliance

You will provide legal support to the Business Entity TRACTEBEL APAC and to the regional companies. Moreover, you will be responsible of the efficient provision of company secretarial services and administration of all Tractebel APAC companies.

You will be reporting directly to the Tractebel APAC General Manager and will be a member of the APAC Executive Committee team. You will have the support of the Corporate Legal & Ethics and Compliance team based in Brussels.

You will be more particularly in charge of:

• Legal Proactively advising and supporting operations staff on all matters relating to the identification and optimal management of legal risk, in particular when preparing calls for tenders (including the legal structuring of offers and relationships with partners and subcontractors) and during contract negotiations and management;
• Preparation and participation in Risk Committees;
• Assisting the subsidiaries with the management of legal risks;
• Actively contributing to the development and implementation of Tractebel’s legal policies, processes, standard contracts and trainings;
• Advising on the choice of and supporting the implementation of the adequate legal structures necessary for implementing projects (branches, offices, permanent establishment, etc.);
• Managing litigation and legal disputes;
• Assistance with respect to M&A activities (i.e. risks analysis, drafting legal memo, participating to project review meetings and investment committees when needed)
• Evaluating the relevance of calling upon outside lawyers, directing their interventions and controlling legal costs;
• Assistance with the follow-up of insurance matters and the collaboration with the brokers and insurance companies.

On corporate housekeeping;
• Maintain record and administer changes in directorships tables to allow timely notification to local authorities, facilitate changes in bank signatories & assisting in the maintenance of records.
• Support and ensure timely processing of documentation, stamps, authentications (notarization, legalization, seal of embassies etc) as needed in the region.
• Create and maintain up to date a database /charts containing, among others, key information about the entities and their directors: registration numbers, registered capital, directors, officers, residence of directors (for checking compliance with tax/local residency requirements).
• Maintain statutory books, including registers of members, directors and secretaries; maintain the register of shareholders and monitor changes in share ownership of the company
• Ensure that presentations, papers, notices, power of attorney to vote at the board, minutes and resolutions of boards are prepared in time and in order and filed if required
• Liaise with external regulators and advisers, such as lawyers, auditors, other external providers/advisers

Ethics & Compliance:
• Act as Head of E&C in the region and manage the E&C network
• Risk detection: anticipate, detect and analyse ethical risks and set out action plans
• Implement and promote ethical documents, policies and procedures within the BE APAC
• Participate in and provide trainings
• Encourage information exchange and good practices
• Roll out the global initiatives locally with the support of local E&C officers
• Coordinate for the region the Ethics and Compliance reports
• Advise the business regarding these issues and conduct Due Diligences when needed
• Act as Data Privacy officer for the region and roll out the data privacy policy in the entities

Data Protection:
• Act as Data Privacy Manager in the region and manage the DPM network Implement and promote privacy policies and applicable legislation within the BE APAC
• Implement tools for personal data management
• Participate in and provide trainings

Required qualifications

• You have a law degree;
• You have 5 years’ experience working as an in-house or external lawyer;
• You are fluent in English;
• You have specific experience in contract law, commercial law, company law and litigation and claims management;
• You have a good understanding of the business issues and are eager to work in an international environment;
• You are pragmatic, flexible and solution-seeking;
• You work well in a team and have excellent communication skills;
• You have an entrepreneurial spirit and are well-organized;
• You have good analytical and synthetical skills;
• You can cope with stress and meet deadlines;
• You are rigorous and professional.
