- Purpose of the Job:
To provide legal support for to energy infrastructure projects (mainly renewable projects), under development, construction and operation, in India, including all related legal activities.
- Reporting lines
The Senior Legal Counsel will report to the General Counsel – India
- Key Accountabilities
- Provide legal support and advice on all legal matters as they arise in connection with energy infrastructure projects in India.
- Perform and coordinate legal due diligence, evaluation and risk analysis with respect to energy infrastructure projects in India
- Drafting, reviewing and negotiating legal documents, at each stage of the development of a project – bid submission, preferred bidder stage and financial close – including project development agreements, joint venture agreements, partnership agreements, exclusivity agreements, acquisition and/or disposal agreements, power purchase, engineering procurement and construction (EPC) contracts, operation and maintenance (O&M) contracts, financing documents, energy service agreements and real estate related agreements.
- Providing general advice on contract management and all legal matters as they arise (including regulatory and local law issues, in coordination with local counsel as the case may be) during the development, construction and operation phases of ENGIE’s projects in India and, as the case may be, other jurisdictions in the AMEA region;
- Contributing to the obtaining of internal approvals and authorizations, including by preparing legal risk memos and participating in project or investment review meetings;
- Providing prima facie dispute resolution advice to project companies and operation and maintenance companies, as well as assisting in planning dates for hearings or appearances before courts, tribunals, arbitration panels or other dispute resolution bodies related to projects in India, as they arise
- Providing advice in relation to all aspects of corporate governance for ENGIE India, its subsidiaries and its affiliates;
- Providing dispute resolution advice to ENGIE India, its subsidiaries and its affiliates;
- Supervising and reviewing work prepared by junior legal counsels and trainee(s);
- Contributing to the development and improvement of internal procedures for the conduct of business activities in India;
- Contribute to the implementation and use of the digital solutions addressing legal processes, such as document management;
- Ensuring compliance with policies and procedures issued by ENGIE, monitoring and reporting on non-compliance with policies or procedures, pending or threatened violations of law or ethical values of the ENGIE Group; reporting of ethical issues, if any, as they arise; encouraging a culture of compliance with laws and integrity in the ENGIE Group;
- Controlling the use, quality and cost of external legal counsels;
- Monitor regulatory, construction law and agreement trends related to the power sector in India; and
- Undertaking other duties as may be requested by the General Counsel.

- Qualifications
- Legal Qualification and master’s degree in law from a reputable university.
- Experience
- 10+ years post-qualification experience
- Large law firm experience preferred, large corporate practice also valued
