About the Role:
To assist the General Counsel/Company Secretary in ensuring that ENGIE UK operates in accordance with existing corporate governance framework, whilst ensuring full statutory compliance and adherence to best practice within the UK and certain overseas jurisdictions.
Key Responsibilities:
- Responsible for UK Companies Act (or equivalent) compliance for ENGIE UK Companies and other statutory compliance, including in overseas jurisdictions
- Responsible for the maintenance of the corporate database, ensuring company secretariat information is properly recorded.
- Preparing documentation for implementing and administration of corporate transactions and structurings, acquisitions and disposals, incorporations and liquidations.
- Arrange, attend and minute various board meetings including joint ventures.
- Support to other functions and external service providers in corporate secretariat matters
- Support to external reporting accountants and auditors within the timescales of the annual and semi-annual reporting cycle.
- Support and assistance to the General Counsel/Company Secretary generally as requested.
- Arrange for the filing of all statutory documents required by the Registrar of Companies with in the UK and overseas where necessary.
- Arrange for the issuance of purchase orders and the processing of invoices from suppliers of Legal/cosec services.
Requirements:
- Proven experience in a similar or related role, with practical commercial experience involving corporate structures
Qualifications:
- Graduate of The Chartered Governance Institute (ACG/ACIS) or substantive training towards this qualification
