To support and accelerate our sustainable growth and enable ENGIE with his commitment towards the energy transition, we are looking for several AIFA Financial Advisors (acquisitions, investments and financial advisory)  to join the various AIFA teams in Europe.

 

The team is dedicated in support of ENGIE’s operations in European perimeter to any of the 5 Global Business Units (Renewables, Energy Solutions, Network, Nuclear, Flexible Generation and Retail). Although the main responsibility and focus is covering Europe, flexibility is required to be able to support the work (as and when required) in other countries within Europe. You can manage several deals (3 to 5 for aggregate value of 1 GEUR) at the same time.

 

Your mission as Senior Financial Advisor AIFA

 

The Acquisitions, Investments and Financial Advisory (“AIFA”) team is a fast-paced group that is closely involved in major transactions and strategic initiatives undertaken by the ENGIE Group. The AIFA Senior Financial Advisor is responsible for supporting/leading the valuation and risk analysis of new projects and for supporting the structuring and execution of M&A and project financing transactions. The role also includes the supervision of Junior and Financial Advisor of the team.

 

 

 

Your key Accountabilities as Financial Advisor AIFA (always under supervision of the Head of AIFA):

  • You select and appoint buy & sell side M&A Advisor. You negotiate terms and conditions and fees, jointly with Business Development and/or Group M&A, co-lead M&A projects in all their aspects (multi-disciplinary team co-ordination/management)
  • You prepare financing plans, select funding sources/banks, structure and execute project financings.
  • You perform valuation in line with ENGIE guidelines with appropriate valuation methodology, and determine recommendation on the transaction terms and conditions (price, earn-out, adjustments, contractual terms) which meet or exceed ENGIE group standards
  • You coordinate valuation, tax, accounting, reporting, financing matters across all aspects of the project
  • You are the interface between project team members for all projects assumptions (obtain, validate, share, check coherence, document) which impact valuation, project economics, financing, financial reporting
  • You coordinate with junior members of the team the economic models (including definition of base case and alternative scenarios) guiding the decision to acquire, invest, divest, taking into all aspects of the projects (revenues, costs, technical performance, accounting, tax, financing, financial reporting, consolidation)
  • you support or lead partnership/consortium discussions (assessment of partners, negotiation of partnership term sheet/contracts, governance, investment structure, value creation, return differentiation)
  • you determine the best investment structure (for ENGIE and partners), taking into account strategic (partnership), governance, flexibility (for future disposal/restructuring), value creation matters
  • you review and contribute to the drafting all transaction documents/contracts (SPA, SHA, off-take and supply contracts) from the point of view of economical robustness, financability/bankability, risk allocation, accounting, consolidation, tax, partnership

Your profile as Financial Advisor AIFA

 

  • University degree or equivalent (BAC+5) in management, finance or applied economics
  • Strong knowledge of finance, accounting topics and tax structures
  • Ability to manage a team in different locations and strong motivation to develop people
  • Seven to ten years of experience in valuation of projects in power and infrastructure/energy network, while conducting M&A and project finance transactions at an investment bank, private equity fund or strategic player in one of the abovementioned industries
  • Deep understanding of investment, acquisitions and divestment in all their aspects including valuation methodologies, risk allocation, including experience in reviewing and negotiating legal documentation and exposure to structuring and closing transactions.
  • Good Understanding of how investment and acquisitions can be financed, on the equity and financing side, including commercial debt financing, capital market (equity offering, bond issuance), export finance, multi-lateral/development bank financing
  • Experience in negotiating a wide range of financing contracts/agreements, advisory mandates (M&A, bank financing, tax, accounting...) and ability to negotiate and represent ENGIE with partners, lenders, clients, governments
  • Ability to manage multiple parties including banks, consultants, lawyers as well as internal stakeholders (management, business development, legal, technical, insurance, tax and accounting) to bring transactions to conclusion in a challenging environment.
  • Strong interpersonal skills and excellent communication
  • Strong analytical and quantitative skills (results-oriented but still looking at issues in a very detailed manner)
  • Leadership skills
  • Good organizational and planning skills
  • Self-directing, ability to coordinate and direct others
  • Ability to work efficiently in a broad cultural spectrum
  • Languages: very good command of English (spoken and written) is compulsory. Dutch, German, Italian or Spanish is mandatory in respective country.
  • Flexibility to travel few days per week when needed, is mandatory
